Notice of Management Integration of Port and Harbor Transportation Business Companies of NYK Group

Nippon Yusen Kaisha (hereinafter called “NYK”) and Mitsubishi Logistics Corporation (hereinafter called “MLC”) agreed to form a joint holding company with the investment ratio of NYK 51%: MLC49%, integrate the management of the four NYK Group terminal operation companies in Japan, and merge UNI-X Corporation (called “UNI-X”) and Nippon Container Terminals Co., Ltd. (called “NCT”), subject to administrative approval by the authorities concerned and necessary proceedings.

1.NYK Group Companies for the Management Integration
UNI-X, NCT, Asahi Unyu Kaisha, Ltd. and Yusen Koun Co., Ltd. which operate port and harbor transportation business within Japan (hereinafter, “the Company Group”).

2.Purpose of the Management Integration

Consolidate quality improvement efforts and enhance long term service stability for port and harbor transportation business of the Company Group.

3.Schedule
August 30, 2018   Signed memorandum of understanding between NYK and MLC
November 2018  To establish holding company and adjust investment ratio to be NYK51%: MLC49%
January 2019    To merge UNI-X and NCT
